取締役をはじめとする株式会社の役員は、その職務を執行するにあたり、各種法令を遵守しかつ善良な管理者としての注意を尽くす義務を負っています。しかし、会社役員が果たすべき法的義務の内容は具体的状況に応じてさまざまであり、必ずしも明確ではありません。たとえば、最近では大規模な会社組織を前提とした監督責任の範囲（内部統制）や、敵対的企業買収に直面した役員の経営判断などが重要な問題となっています。また、上場企業について投資家に対する虚偽情報の開示責任が厳しく問われるようになっています。これらの場面における行動ガイドラインの提供は、役員が安心して経営に専念できるようにするとともに、会社・株主・投資家の利益を守ることにもつながります。私の主な研究関心は、さまざまな状況における会社役員の義務と責任を明確化していくことにあります。
