Teaching and Research Fields
会社法、とくにEUとフランスの会社法について研究しています。EUでは、1960年代より会社法の領域において各加盟国の法制の調整が行われています。私はEU会社法のなかでも、ヨーロッパ会社法という超国家的な会社法に関心をもって研究を進めてきました。これまでのところ、その設立、組織再編、株主総会について、主にフランス法の観点から検討しました。今後は、運営機構（日本の会社法では取締役会や監査役会に相当する）について検討することを考えています。またとりわけ組織再編（M&A）の分野については、EUだけではなく、日本やフランスの法制度や裁判例についても検討を進めています。日本の会社法は近時、規制緩和が進められていますが、EUやフランスのありようを分析することは、日本の状況を相対化して考える上で有益であると思われます。
